Terms and Conditions

General Terms and Conditions Educanta B.V.

Deposited and effective from May 2026. These terms apply exclusively to commercial supplies provided by Educanta B.V. Sales to private consumers are excluded.

Article 1 - Definitions

  • 1.1 Educanta: Educanta B.V., based in Hengelo, The Netherlands.
  • 1.2 Buyer: The commercial party (B2B) entering into an agreement with Educanta in the course of their trade or business.

Article 2 - Applicability

2.1 These terms apply to all offers and agreements between Educanta and the Buyer.

2.2 Any purchasing terms of the Buyer are expressly rejected.

Article 3 - Offers and Prices

3.1 All prices are exclusive of VAT.

3.2 Educanta is not bound by manifest errors or misprints in its offers.

Article 4 - Delivery, Returns and Complaints

4.1 As Educanta supplies exclusively to the professional (B2B) market, the right of withdrawal does not apply to our agreements.

4.2 Visible damage: The Buyer is obliged to inspect the shipment immediately upon receipt. Claims regarding visible damage or non-conformity must be submitted in writing (via email) within 24 hours of receipt, including a full description and visual evidence. After a defect is discovered, use of the product must cease immediately.

4.3 Returns: The return of products is only possible subject to prior written approval by Educanta. Products must be returned unused, undamaged, and in the original packaging. Shipping costs and the risk associated with the return are at the expense of the Buyer.

4.4 Custom-made products: Products manufactured specifically to the Buyer's specifications (bespoke/custom) are excluded from returns.

Article 5 - Delivery and Risk

5.1 Risk passes to the Buyer upon delivery at the agreed location.

5.2 Delivery times provided are indicative; exceeding these times does not entitle the Buyer to compensation or termination of the agreement.

Article 6 - Payment

6.1 Payment must be made within 30 days of the invoice date, unless otherwise agreed.

6.2 If the payment deadline is exceeded, the Buyer is in default by operation of law, and statutory commercial interest shall apply.

Article 7 - Warranty

7.1 Educanta provides a 2-year warranty on manufacturing defects from the date of shipment. This warranty covers only defects arising during normal professional use.

7.2 Damage due to wear and tear, improper maintenance, negligent use, external factors, or modifications made without Educanta's written consent is excluded from the warranty.

7.3 Warranty claims must be accompanied by a detailed description, visual evidence, batch number, and the invoice. Upon request, the product must be returned (carriage paid) for inspection. For queries, please contact +31 85 130 5806.

7.4 In the event of a valid claim, Educanta will, at its own discretion, arrange for repair or replacement. Assembly costs, shipping costs for components, and transport costs are at the expense of the Buyer.

7.5 Removal or damage to the warranty label/identification number voids the warranty.

Article 8 - Colour and Material Variations

8.1 Minor variations in colour, dimensions, or finish that are technically unavoidable do not constitute grounds for a complaint.

Article 9 - Retention of Title

9.1 Delivered products remain the property of Educanta until all claims have been paid in full.

Article 10 - Liability

10.1 Educanta's liability is limited to the invoice amount of the delivery in question.

10.2 Indirect damages, consequential damages, or loss of profit are excluded from compensation.

Article 11 - Applicable Law

11.1 All agreements are governed exclusively by Dutch law. Disputes shall be submitted to the competent court in the district where Educanta is established.
